Welcome to EncodeAlpha. These Terms & Conditions (“Terms”) govern your access to and use of EncodeAlpha’s websites, applications, products, and services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

1) Who We Are

EncodeAlpha (“EncodeAlpha,” “we,” “us,” or “our”) provides AI-driven analytics and financial intelligence tools. We are a technology and analytics provider and not a registered investment adviser, broker-dealer, or financial institution.

2) Acceptance of Terms

By creating an account, clicking “I agree,” or using the Platform, you acknowledge that you have read, understood, and agree to these Terms and to our Privacy Policy and Disclaimer, which are incorporated by reference.

If you do not agree, do not access or use the Platform.

3) Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction).
  • You represent that you are legally permitted to use the Platform in your jurisdiction and not subject to any applicable sanctions or export restrictions.

4) Accounts & Security

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
  • Notify us immediately at security@encodealpha.ai of any unauthorized use or security breach.

5) Subscriptions, Trials & Fees

  • Access to certain features may require a paid subscription. Prices, billing cycles, and plan details will be disclosed at checkout.
  • Trials may convert to paid plans unless you cancel before the trial ends. Taxes may apply.
  • Except where required by law, fees are non-refundable. We may change pricing with notice before your next billing period.

6) License to Use the Platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. We reserve all rights not expressly granted.

7) User Content

  • You may upload or input data, text, files, or other materials (“User Content”). You retain ownership of your User Content.
  • You grant EncodeAlpha a non-exclusive, worldwide, royalty-free license to host, process, analyze, and display User Content solely to operate, improve, secure, and provide the Platform (including to train and evaluate models if and only if you have opted in, where applicable).
  • You represent that you have all rights and consents necessary to provide User Content and that it does not infringe or violate any law or third-party right.

8) Prohibited Activities

You agree not to:

  • Use the Platform to provide or receive personalized investment advice, execute trades, or manage portfolios;
  • Misuse, reverse serviceer, decompile, or attempt to derive source code or model weights, except as permitted by law;
  • Introduce malware or interfere with the Platform’s operation or security;
  • Use the Platform to develop, train, or improve competing models without our prior written consent;
  • Scrape, harvest, or bulk export content except via permitted APIs;
  • Use the Platform for unlawful, infringing, deceptive, or harmful purposes, including market manipulation or unauthorized access to financial accounts.

9) No Investment Advice; No Fiduciary Duty

The Platform provides informational and educational analytics only. We do not provide personalized investment, legal, tax, or accounting advice, make recommendations regarding specific securities, or act as a fiduciary. Any decisions you make based on Platform content are solely your responsibility.

10) AI Outputs & Limitations

  • AI and generative outputs may be inaccurate, incomplete, or outdated. Always verify before relying on them.
  • We do not guarantee the accuracy, completeness, timeliness, or reliability of any output, analysis, forecast, or suggestion.
  • You are responsible for evaluating outputs and for compliance with applicable laws and policies when using them.

11) Third-Party Services & Links

The Platform may integrate third-party data, APIs, brokerages, or links. We do not control and are not responsible for third-party services or content. Your use of third-party services may be subject to their terms and privacy policies.

12) Beta Features & Experimental Tools

From time to time, we may offer beta or experimental features (“Beta”). Beta is provided “as is,” may be incomplete or change at any time, and may be subject to additional terms. We may enable or disable Beta at our discretion.

13) Availability; Changes; Support

  • We aim for high availability but do not guarantee uninterrupted or error-free operation.
  • We may modify or discontinue features at any time with reasonable notice where practicable.
  • Support channels and SLAs (if any) are described in your plan or on our site.

14) Intellectual Property

The Platform, including software, models, designs, text, graphics, and trademarks, is owned by EncodeAlpha or its licensors and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

15) Feedback

If you submit comments, ideas, or suggestions (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and exploit the Feedback without restriction or compensation.

16) Termination

  • You may stop using the Platform at any time and, if applicable, cancel your subscription as described in your plan.
  • We may suspend or terminate access for any violation of these Terms, risk to security, non-payment, or as required by law.
  • Upon termination, your license ends and you must cease use. Sections that by their nature should survive (e.g., IP, disclaimers, limitations, indemnity, dispute resolution) will survive.

17) Indemnification

You agree to indemnify and hold harmless EncodeAlpha and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) use of the Platform; (b) User Content; (c) violation of these Terms or applicable law; or (d) infringement of any third-party right.

18) Disclaimers

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability. We disclaim all warranties to the fullest extent permitted by law.

19) Limitation of Liability

To the maximum extent permitted by law, EncodeAlpha shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to your use of the Platform, even if advised of the possibility.

Our total liability for any claims relating to the Platform shall not exceed the amounts you paid to EncodeAlpha for the service in the twelve (12) months preceding the event giving rise to liability, or one hundred (100) U.S. dollars if you have not paid any amounts.

20) Compliance; Export & Sanctions

You agree to comply with all applicable laws, including export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to comprehensive sanctions.

21) Electronic Communications & E-Sign

By creating an account or providing your email, you consent to receive notices and communications electronically. You agree that electronic signatures and records associated with the Platform satisfy legal requirements to the fullest extent permitted by law.

22) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

Binding Arbitration & Class Action Waiver

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, in English, with one arbitrator, in Wilmington, Delaware (or via virtual hearing). You and EncodeAlpha waive any right to a jury trial and agree that all claims must be brought in an individual capacity and not as a class or representative action. Some users may have rights that cannot be waived; if a court finds the class waiver unenforceable, this Section shall be severed and disputes proceed in court in Delaware.

This Section does not apply where prohibited by law, including for certain government or consumer protections. Before filing, the parties will attempt good faith resolution by emailing legal@encodealpha.ai and allowing 30 days to respond.

23) Changes to Terms

We may update these Terms from time to time. Material changes will be notified via the Platform or email. Your continued use after changes become effective constitutes acceptance.

24) Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and EncodeAlpha regarding the Platform.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. A failure to enforce a provision is not a waiver of the right to do so later.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, sale, or reorganization.
  • Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
